BOARD OF DIRECTORS

The Board of Directors performs a pivotal role within the corporate organization. Its tasks and responsibilities include setting strategic goals and organizational guidelines and ensuring that adequate controls to monitor the performance of the Group are in place.

Based on the By-laws of Sanlorenzo, the Board of Directors is composed by a minimum of 7 up to a maximum of 19 members. Directors will remain in office for a period not in excess of three financial years and their office will terminate on the date of the Shareholders’ Meeting called for the approval of the financial statements of the last year of their office.

The Chair of the Board of Directors is appointed by the Shareholders’ Meeting among the Directors or, upon failure of the Shareholders’ Meeting to do so, it is elected by the Board of Directors.

The Board of Directors may appoint one or more Deputy Chairs performing the duties provided for in the By-laws.

The Board of Directors may also establish internal committees, determining the number of its members and their powers.

On 24 October 2019, the Board of Directors established four internal committees: the Control, Risks, and Sustainability Committee, the Remuneration Committee, the Nomination Committee and the Related Party Transactions Committee.

The Board of Directors currently in office was appointed by the Shareholders’ Meeting on 29 April 2025, until approval of the financial statements as at 31 December 2027.

Massimo Perotti - Chairman and Chief Executive Officer

 

Born in Turin, he graduated in Economics at the University of Turin with the final grade of 110/110. In 1984, before completing his studies, he began working at Azimut Benetti S.p.A. alongside its founder, contributing significantly to the Company’s growth. He became an executive in 1987 at the age of 27. He joined the board of directors of Azimut Benetti S.p.A with delegated powers in the early 1990s and was appointed chief executive officer of the main ‘‘Azimut division’’ in 1996 at the age of 36.

 

In 2005, he acquired the majority of Sanlorenzo, for which he assumed the role of chief executive officer and subsequently also of chairman, leading the Group to a path of constant and sound growth, until achieving a global reach.

 

In 2014, he was unanimously elected chairman of UCINA, Confindustria Nautica. He is currently a member of Confindustria Nautica’s board. In 2017, he was awarded the honorary title of 'Cavaliere del Lavoro' (Italian Order of Merit for Labour). In 2019, he won the EY “Entrepreneur of the year” award for Italy.

 

In 2022 he was elected to the board of the Superyacht Builders Association (SYBAss).

 

In 2023 he was awarded the Lifetime Achievement Award during the Boat Builder Awards for Business Achievement, an accolade dedicated to those who have left an indelible mark on the nautical industry.

 

Massimo Perotti is also chairman of the subsidiaries Bluegame S.r.l., Sanlorenzo of the Americas LLC, Sanlorenzo Côte d'Azur SAS, OY Nautor AB (a subsidiary of Nautor Swan S.r.l.), chairman and managing director of the subsidiaries Sanlorenzo Baleari SL, Sanlorenzo Monaco SAM and Nautor Swan Global Service SL (a subsidiary of OY Nautor AB, in turn a subsidiary of Nautor Swan S.r.l.), CEO of the subsidiary Nautor Swan S.r.l. (which in 2025 incorporated Nautor Italy S.r.l., of which Massimo Perotti was also chairman and managing director), director of the subsidiary Simpson Marine Limited and Simpson Marine Australia Pty Ltd (a subsidiary of Simpson Marine Limited) and PT Simpson Marine Indonesia (a subsidiary of Simpson Marine (Sea) Pte Ltd, in turn a subsidiary of Simpson Marine Limited).
